Overview:
A prominent and ethical professional services firm established in 2005, invites applications for the position of Company Secretary, located in Pune with a Pan India presence, we serve a diverse clientele, including HNI Individuals and multinational corporations.
The successful candidate will be a part of a Compliance team responsible for ensuring compliance with statutory and regulatory requirements under the Companies Act, 2013, LLP Act, 2008 & FEMA, 1999 and implementing best practices in corporate governance. The role demands a proactive and detail-oriented professional who can efficiently manage multiple responsibilities in a dynamic environment.
Key Responsibilities:
1. Company Incorporation and Management:
Handle the incorporation process for various types of companies including Private Limited, Public Limited, Section 8, Wholly Owned Subsidiaries, and Limited Liability Partnerships.
2. Regulatory Filings and Compliance:
filing of annual returns, financial statements with the Registrar of Companies (ROC), and ensure compliance with the Foreign Exchange Management Act, 1999 including filings such as FC-GPR and FLA.
3. Meeting Management and Documentation:
Preparation and finalization of all documentation related to board meetings, committee meetings, and general meetings including notices, agendas, resolutions, and minutes etc.
4. Due Diligence and Compliance Oversight:
To support in due diligence and manage annual and event-based compliances for Private and Public Limited Companies as well as LLPs etc.
Qualifications:
1. Qualified Company Secretary (CS) having membership of the Institute of Company Secretaries of India (ICSI).
2. Demonstrable experience (0-2 years) in corporate law, compliance, and governance.
3. Understanding of the Companies Act, 2013, The Limited Liability Partnership Act, 2008 & Foreign Exchange Management Act (FEMA), 1999 and other regulatory compliances.
