Key Responsibilities
• Draft and review schemes of amalgamation and corporate-restructuring documents, including share-exchange ratio computations.
• Lead and advice on assignments for various startups intending to re-domicile to India due to various reasons such as VC fundings, greater valuations, IPO’s etc. (typically know as Reverse Flip) while keeping in mind their business complexities.
• Advise on Overseas Investments regulations and jurisdictional structuring for expansions to countries outside India i.e. Singapore, USA and UAE etc.
• Lead and execute valuation assignments for a variety of purposes including fundraising, mergers & acquisitions, corporate restructuring, and financial reporting.
• Evaluating the benefits and drawbacks of jurisdictions concerning the establishment of subsidiary or foreign parent company (Jurisdictional Analysis) for various countries like Singapore, USA, UAE, etc.
• Analyzing the tax regimes of each jurisdiction, including corporate tax, capital gains tax, withholding tax, digital services tax, VAT/GST exposure and any relevant tax treaties to identify Ideal tax jurisdiction and suitable entity structure for the proposed subsidiary or holding Co in foreign location.
• Analysis of various Tax Treaty involving applicable for relevant transactions for multiple countries either one of the jurisdictions as India or both outside India.
• Build fully diluted cap tables covering CCDs, SAFEs, convertible notes and ESOP pools to support fund-raises.
• Prepare detailed financial models and valuation reports using various methodologies (DCF, comparable company analysis, precedent transactions, etc.).
• Conduct thorough market and industry research to support valuation assumptions and analysis.
• Collaborate in drafting and reviewing transaction documents, compliance paperwork, and pitch presentations.
• Support due diligence exercises by analyzing financial statements, contracts, and other relevant data.
• Keep abreast of updates in regulations for FEMA, Income Tax and Company law impacting valuations and transactions.
• Liaise with internal and external stakeholders including clients, auditors, legal advisors, and regulatory bodies.
• Mentor junior team members and contribute to process improvements within the team.
Qualifications & Skills
• Bachelor’s degree in finance, Commerce, Economics, or related fields; professional certifications like CFA, CA, or MBA are desirable.
• Experience of technical analysis from regulatory and tax perspective including high end advisory of mergers, corporate structuring, cross border structuring, etc.
• Strong understanding of valuation principles and financial modelling techniques.
• Excellent analytical, research, and problem-solving skills.
• Proficient in MS Excel, PowerPoint, and financial databases/tools
• Good communication skills with the ability to explain complex concepts to diverse stakeholders.
• Ability to manage multiple projects and meet deadlines in a fast-paced environment.
